Terms and Conditions

Last Updated: October 22, 2026

Welcome to RestaurantTaxDefense.com. Restaurant Tax Defense ("Restaurant Tax Defense," "we," "us," or "our") is a marketing brand operated by UpForce Media, LLC, a Delaware limited liability company ("UpForce Media"). These Terms and Conditions ("Terms") govern your use of this website (the "Website") and the matching service described below. By clicking "Submit" (or any equivalent button that completes a form and submits your information), by calling a phone number shown on the Website, or otherwise using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website.

Important Disclaimer

Restaurant Tax Defense is a marketing platform and lead-generation service. We are not a law firm, CPA firm, accounting firm, or tax relief company, and we do not provide legal, tax, accounting, or financial advice or representation. Any tax relief or related services are offered solely by independent, licensed third-party providers. Restaurant Tax Defense is not affiliated with, endorsed by, or acting on behalf of the IRS or any other government agency.

1. Our Role

Restaurant Tax Defense is a marketing and matching service. We connect consumers with independent, licensed tax professionals, enrolled agents, certified public accountants (CPAs), tax attorneys, and tax resolution companies ("Partners") who may be able to help with tax relief and related services.

Partners are independent businesses. They are not employees, agents, or representatives of Restaurant Tax Defense or UpForce Media, and we do not supervise, control, endorse, or guarantee their services, advice, or results. Each Partner is solely responsible for its own licensing, compliance, advice, and service outcomes. You are never required to hire any Partner, and any agreement for services is solely between you and that Partner.

2. How Matching Works

When you submit your information, you are asking to be matched with one or more Partners. We may share your information with one or more current or future Partners who meet our licensing and compliance standards. We may share the same information with more than one Partner, and each of them may contact you directly. How we handle and share your information is described in our Privacy Policy. Submitting a form does not guarantee that you will be matched with or contacted by any Partner, and a match is not a recommendation of any Partner.

You may also reach a Partner by calling a phone number shown on the Website. Calls to those numbers are routed to a Partner and handled under that Partner's own terms and privacy practices. A Partner that contacts you after your call does so under its own practices and is responsible for complying with the laws that apply to that contact, including obtaining any consent required.

3. How We Are Paid

Using Restaurant Tax Defense costs you nothing. We are paid by Partners and other third parties for connecting you with them, for example per lead or per call. This compensation may influence which Partners we work with and how we match you. Partners, not Restaurant Tax Defense, set, disclose, and collect their own fees, so please review any engagement agreement carefully before you pay anything. Restaurant Tax Defense does not set, guarantee, or charge those fees.

4. No Professional Relationship

Using the Website or submitting your information does not create an attorney-client, CPA-client, fiduciary, or other professional relationship between you and Restaurant Tax Defense or UpForce Media, or between you and any Partner. A professional relationship exists, if at all, only when you sign an engagement agreement directly with a Partner. Information on the Website is general and informational only. It is not legal, tax, or accounting advice, so please consult a qualified professional of your choosing about your situation.

5. No Guarantee of Results

We do not guarantee that you will be matched with a Partner, that you will qualify for any tax relief program, or that any specific reduction or resolution of tax debt will occur. Results vary based on individual circumstances and the actions of the Partner you work with.

6. Your Information and Eligibility

You must be at least 18 years old and located in the United States to use the Website or call a number shown on it. When you submit information on a form or share it on a call, you confirm that it is accurate and complete, that the phone number and email address you give belong to you or that you are authorized to give them, and that you are not providing anyone else's information without their permission. Our Privacy Policy explains what we collect, how we use and share it, and your privacy rights. If these Terms and the Privacy Policy conflict on how personal information is handled, the Privacy Policy controls.

7. Calls, Texts, and Emails

Your consent to be contacted is given through the consent disclosure shown next to the button you click to complete a form and submit your information. That button is usually labeled "Submit," but it may use equivalent wording that signifies completing the form and submitting your information. That disclosure, not this section, is the operative consent, and we keep a record of the version you saw. In summary, by clicking that button you agree that Restaurant Tax Defense, its affiliates, marketing partners, and licensed service providers (including Partners) may contact you by phone call, text message (SMS/MMS), and email at the contact details you provided, including with an automated dialing system and artificial or prerecorded voice, about tax relief and other financial and business products and services.

You are not required to consent as a condition of purchasing any goods or services. Message frequency varies, and message and data rates may apply. Other financial and business products and services may include offers from us or from third parties that are not tax relief offers, and we may contact you about them as well.

You may revoke your consent at any time by any reasonable means, including replying STOP to a text, using the unsubscribe link in an email, emailing help@restauranttaxdefense.com, or telling a caller you do not want to be contacted. We will honor your request for our own calls, texts, and emails. Partners are independent businesses that contact you on their own, and each Partner has its own process for honoring opt-out requests, so you will need to tell each Partner directly that you no longer want to hear from them.

8. Call Recording and Monitoring

Calls to numbers shown on the Website may be routed to a Partner, and calls with Restaurant Tax Defense, UpForce Media, or our Partners may be recorded, monitored, and analyzed by us, our call-tracking providers, and Partners for quality, training, and compliance purposes. The Partner who answers a call is responsible for telling you at the start of the call that it may be recorded. If you continue the call after that announcement, you consent to the recording. We may share the phone number you call from and other call details with Partners, as described in our Privacy Policy.

9. Your Responsibilities

You agree to use the Website in compliance with these Terms and all applicable laws. You agree not to interfere with or disrupt the Website; submit false, fraudulent, or unlawful information or information belonging to someone else; use bots, scrapers, or automated means to submit forms or collect data; attempt unauthorized access; or use the Website for spamming or any other unlawful purpose. You are solely responsible for what you submit. We may monitor and collect information about your use of the Website, as described in our Privacy Policy, to improve the Website and to enforce these Terms and applicable law.

10. Intellectual Property and Feedback

The content, trademarks, logos, and materials on the Website belong to Restaurant Tax Defense, UpForce Media, or their licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or transmit them without our prior written consent. If you send us feedback or suggestions (not including your personal information, which is governed by the Privacy Policy), you grant us a non-exclusive, royalty-free, perpetual, sublicensable right to use it for any purpose.

11. Third-Party Links and Services

The Website may link to third-party websites, and Partners provide their own services under their own terms and privacy practices. We do not control them and are not responsible for their content, services, or representations.

12. Disclaimer of Warranties

The Website and the matching service are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy, completeness, or usefulness of any information on the Website, or that the Website will be available or uninterrupted. You use the Website and rely on its information at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law, Restaurant Tax Defense, UpForce Media, and their officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, goodwill, or data, arising out of or related to the Website or the matching service. We are not liable for the acts, omissions, advice, fees, or results of any Partner. Our total liability for any claim arising out of these Terms or the Website will not exceed $100.

Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or violation of law, or any liability that cannot be limited under applicable law, including California Civil Code Section 1668. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Restaurant Tax Defense, UpForce Media, and their officers, directors, employees, and agents from third-party claims, losses, and reasonable attorneys' fees arising out of your breach of these Terms, your violation of law, information you submit that is false, fraudulent, or infringes another person's rights, or your submission of another person's information without authorization.

15. Dispute Resolution and Binding Arbitration

Please read this section carefully. It affects your legal rights, including your right to go to court.

Informal resolution first. Before starting any formal proceeding, you and UpForce Media agree to try to resolve the dispute informally. Send a written notice describing the dispute and what you want to help@restauranttaxdefense.com and to UpForce Media, LLC, 1968 S. Coast Hwy #3011, Laguna Beach, CA 92651, US. If it is not resolved within 30 days, either side may begin arbitration.

Binding arbitration. Any dispute between you and Restaurant Tax Defense or UpForce Media arising out of or relating to these Terms or the Website will be resolved by binding individual arbitration administered by National Arbitration and Mediation (NAM) under its rules in effect when the arbitration begins. The Federal Arbitration Act governs this section. This agreement is only with Restaurant Tax Defense and UpForce Media. It does not require you to arbitrate with any Partner unless that Partner's own terms say so.

Where and how. The arbitration may be conducted by phone or video, or in person in the county where you live or in Los Angeles County, California, whichever you choose. The arbitrator's award is final and binding and may be entered in any court with jurisdiction.

Costs. We will pay all NAM filing, administrative, and arbitrator fees beyond the amount you would pay to file a lawsuit in court. Each side pays its own attorneys' fees unless the law or the arbitrator's rules say otherwise.

Exceptions. Either side may bring an individual claim in small claims court, and either side may seek an injunction in court to stop infringement or misuse of intellectual property or confidential information. Claims for public injunctive relief may be brought in court, as California law requires.

Opt out. You may opt out of arbitration within 30 days after you first accept these Terms by emailing help@restauranttaxdefense.com with the subject line "Arbitration Opt-Out." Opting out does not affect any other part of these Terms.

16. No Class Actions

You and UpForce Media may bring claims against each other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not combine claims or preside over any class or representative proceeding. If this section is found unenforceable as to a claim, that claim must be brought in court, and the rest of Section 15 continues to apply to all other claims.

17. Governing Law and Courts

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, and by the Federal Arbitration Act where applicable. For any claim that is not subject to arbitration, you and UpForce Media agree to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, except that claims that qualify for small claims court may be brought there.

18. Changes to the Website and Termination

We may modify, suspend, or discontinue any part of the Website or the matching service, and may suspend or end your access, at any time and for any reason, including a breach of these Terms. Sections that by their nature should survive termination will survive, including Sections 10 and 12 through 17.

19. Changes to These Terms

We may update these Terms by posting the revised version with a new Last Updated date. Changes apply from the date posted and do not apply to any dispute that began before then. By continuing to use the Website after a change, you accept the updated Terms. We keep prior versions on file.

20. Electronic Communications

You agree that notices, agreements, and disclosures about these Terms may be provided to you electronically, including by email or posting on the Website, and that they satisfy any legal requirement to be in writing. This section is separate from, and does not give, the consent to calls and texts described in Section 7.

21. General

If any part of these Terms is held unenforceable, the rest remains in effect (subject to Section 16). Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent, and we may assign them to an affiliate or a successor to our business. These Terms and our Privacy Policy are the entire agreement between you and us about the Website.
